1. Introduction and Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the Stablelance platform, including our website, services, and applications (collectively, the “Service”). The Service is a zero-fee stablecoin payroll and contract management platform designed for global freelancers and their employers, operated by Stablelance (“we,” “us,” or “our”). By creating an account, or by accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service. IMPORTANT: These Terms include a disclaimer of warranties and a limitation of liability. The Service involves blockchain technology and cryptocurrencies, which have inherent risks. You are solely responsible for understanding and accepting these risks.2. The Service
Stablelance provides a platform that facilitates the creation, management, and execution of service contracts between users. Key features include:- Contract Management: Employers and Freelancers can create detailed contracts with specific milestones, deliverables, and payment schedules.
- Stablecoin Payments: The Service integrates with the Polygon blockchain to enable milestone-based payments using stablecoins (USDT and USDC).
- Job Marketplace: Employers can post job opportunities, and Freelancers can browse and apply for them.
- Non-Custodial Wallets: We use Web3Auth to provide you with a non-custodial cryptocurrency wallet. This means you, and only you, have control over your private keys and your funds. We never have access to or custody of your assets.
3. User Accounts
3.1. Eligibility and Registration
To use the Service, you must be at least 18 years old and have the legal capacity to enter into binding contracts. You must register for an account by providing accurate and complete information, including a valid email address.3.2. Account Security
You are responsible for maintaining the security of your account and your non-custodial wallet. This includes safeguarding your login credentials and any recovery phrases associated with your wallet. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with this security obligation.4. User Roles and Responsibilities
The Service is designed for two primary user roles: “Employers” and “Freelancers.”- Employers are users who seek to procure services from Freelancers. Employers are responsible for creating clear contract terms, reviewing submitted work, and releasing payments upon the successful completion of milestones.
- Freelancers are users who provide services to Employers. Freelancers are responsible for delivering work as specified in the contract, submitting deliverables for review, and managing their own finances and tax obligations.
5. Contracts, Payments, and Fees
5.1. Contracts
Contracts are legally binding agreements between an Employer and a Freelancer. Users define all terms of the contract, including scope, milestones, and payment amounts, directly on the platform. Stablelance is not responsible for the performance or enforcement of these contracts.5.2. Payments
All payments are executed on the Polygon blockchain. When an Employer funds a milestone, the funds are held in a manner consistent with the platform’s architecture until the milestone is approved. Upon approval, the funds are released directly to the Freelancer’s wallet address. All transactions are final and irreversible.5.3. Fees
Stablelance does not charge any platform fees or commissions on payments between users. However, you are responsible for all blockchain network fees (i.e., “gas fees”) required to process transactions on the Polygon network. These fees are not paid to Stablelance and are subject to the network’s conditions.6. User Conduct
You agree not to use the Service for any illegal or unauthorized purpose. You are responsible for all your activity in connection with the Service. Prohibited activities include, but are not limited to:- Engaging in any fraudulent activity, including misrepresenting deliverables or failing to make payments for approved work.
- Using the Service to conduct any illegal activities, including money laundering or terrorist financing.
- Infringing upon the intellectual property rights of others.
- Harassing, abusing, or harming another person.
- Interfering with the proper functioning of the Service or attempting to bypass our security measures.
7. Intellectual Property
- Your Content: You retain ownership of all intellectual property rights in the content and deliverables you create and share through the Service. By using the Service, you grant us a limited license to host, display, and transmit your content as necessary to provide the Service.
- Our Content: The Service and its original content, features, and functionality are and will remain the exclusive property of Stablelance and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
